Terms of Service

Effective October 11, 2026

These terms are an agreement between Adaptive Intelligence Systems, LLC (“we”, “us”) and the business that signs up for Carat (the “Customer”, “you”). By creating an account or using Carat, you accept them on behalf of the business and confirm you are authorized to do so. If a separate signed agreement covers your use, that agreement prevails where it differs.

1. The service

Carat is hosted software for managing jewelry inventory, invoices, memos, payments and related work, available at carat.software and your organization’s subdomain. We grant you a non-exclusive, non-transferable right to use it for your internal business purposes during your subscription. We may improve and change features over time; we will not materially reduce the core functions of your plan during a paid term without notice.

2. Accounts and users

You are responsible for the users you invite, for keeping sign-in details confidential, and for all activity under your account. Tell us promptly at support@carat.software if you suspect unauthorized access. Plans limit the number of users and records as described on our pricing page.

3. Your data

You own the data you put into Carat. You give us permission to host, process and transmit it only to provide and support the service, as described in our Privacy Policy. You are responsible for having the right to use the data you upload, including your clients’ contact details, and for the messages you send through Carat. You may export your data at any time while your account is active.

4. Acceptable use

You agree not to:

  • break the law, infringe others’ rights, or send spam or unlawful messages through the service;
  • try to access another organization’s data, probe or bypass our security, or disrupt the service;
  • copy, resell or reverse engineer the service, or use it to build a competing product;
  • upload malware or content you have no right to share.

We may suspend access that puts the service or other customers at risk, and will tell you why.

5. Connected services

Carat can connect to services you use, such as QuickBooks Online, Stripe or a lab report service. Your use of those services is governed by their own terms, and you authorize us to exchange data with them on your instruction. Connections are made with your own accounts and can be disconnected at any time. We are not responsible for a third-party service’s availability or for changes it makes, and we do not guarantee that records sent to an accounting system will satisfy your accounting or tax obligations; please review them with your accountant.

6. Trials, fees and payment

Trials are free for the period shown at signup. Paid plans are billed in advance through Stripe for the period you choose and renew automatically until cancelled. Fees are non-refundable except where the law requires otherwise. We may change prices for a future term with at least 30 days’ notice. If payment fails we may limit the account to read-only after notice.

7. Cancellation and termination

You may cancel at any time; cancellation takes effect at the end of the current billing period. We may terminate for a material breach that is not cured within 15 days of notice, or immediately for serious misuse. After termination you can request an export of your data for 30 days, after which we delete it as described in the Privacy Policy.

8. Our property

Carat, its software and its design belong to us and our licensors. If you send us suggestions, we may use them without obligation to you.

9. Disclaimer

We work to keep Carat accurate, secure and available, but the service is provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. Figures the service calculates (prices, taxes, balances, AI-extracted details) should be checked before you rely on them.

10. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, and our total liability for any claim relating to the service is limited to the fees you paid us in the 12 months before the claim arose. These limits do not apply to liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify us against third-party claims arising from your data, the messages you send through the service, or your breach of these terms.

12. Changes to these terms

We may update these terms. We will post the new version here with a new effective date and notify you by email or in the app at least 30 days before a material change takes effect. Continuing to use the service after that date means you accept the change.

13. General

These terms are governed by the laws of the State of California, without regard to its conflict of laws rules, and the state and federal courts located there have exclusive jurisdiction. Neither party may assign these terms without the other’s consent, except to a successor of its business. If a provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
